Terms of Service

Effective date: March 1, 2026

These Terms of Service govern your access to and use of the KOMUNITI community management platform provided by TAVARA HOLDINGS OPC. Please read these terms carefully before using the platform.

1. Service Provider

KOMUNITI is a community management platform provided by TAVARA HOLDINGS OPC ("Company", "we", "us", "our"), operating through its technology division SOLOMON TEKNIKA. By accessing or using KOMUNITI, you agree to be bound by these Terms of Service.

2. Service Description

KOMUNITI provides a cloud-based platform for homeowners associations (HOAs), condominium corporations, and residential communities to manage financial operations, maintenance requests, resident communication, governance, and related community management functions.

We reserve the right to modify, update, or discontinue features of the platform with reasonable notice. We will notify affected users of material changes via email or in-app notification.

3. Account Registration

To use KOMUNITI, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

You must be at least 18 years old to create an account. By registering, you represent that you have the authority to bind your community or organization to these terms, if applicable.

You are responsible for all activity that occurs under your account. Notify us immediately at legal@komuniti.cloud if you suspect unauthorized access.

4. User Responsibilities

You agree to use KOMUNITI only for lawful purposes and in compliance with all applicable Philippine laws and regulations.

You shall not: (a) use the platform to transmit harmful, fraudulent, or illegal content; (b) attempt to gain unauthorized access to other accounts or systems; (c) interfere with the platform's operation or security; (d) reverse-engineer, decompile, or disassemble any part of the platform; (e) resell or redistribute access to the platform without authorization.

Community administrators are responsible for managing user access within their community and ensuring that their community's use of the platform complies with these terms.

5. Subscription & Payment Terms

KOMUNITI is offered on a per-unit subscription basis at ₱50.00 per active unit per month. A "unit" is defined as one registered lot, townhouse, or condominium unit that is actively assessed within the platform. Bare lots with no registered owner or active assessment are excluded.

Billing is calculated based on the active unit count snapshotted on the last day of the preceding month. Invoices are generated on the 1st of each month and payment is due by the 5th. Payment is processed automatically via the payment method on file through PayMongo.

Failure to pay by the 5th will result in a payment reminder. Access will be restricted to read-only on the 11th and the account will be suspended on the 16th if the outstanding balance remains unpaid. Access is restored immediately upon payment.

All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement. We do not provide refunds for partial billing periods.

We may offer free trials or promotional pricing at our discretion. Trial accounts may have limited features.

5A. Unit Count Integrity & Anti-Gaming Policy

To ensure billing integrity, KOMUNITI enforces a 30-day unit floor policy. Any unit removed from the platform remains billable for 30 days from the date of removal. A unit re-added within 30 days of removal is treated as continuously active and billed without interruption.

Systematic manipulation of unit counts for the purpose of reducing billing obligations — including but not limited to deleting units immediately before a billing snapshot and re-adding them shortly after — constitutes a material breach of these Terms of Service.

KOMUNITI employs a three-level notification and enforcement system for unit count anomalies: (1) Informational notice to the community treasurer for every unit deletion; (2) Pattern flag notice to the treasurer and all registered board officers when 5 or more units are deleted within 5 days of the billing snapshot date; (3) Manual review escalation to KOMUNITI on the second occurrence within any 6-month period.

Accounts confirmed to be in material breach of this policy are subject to retroactive billing adjustment, account suspension, and termination. All unit additions and deletions are permanently recorded in the platform audit trail with timestamps and user attribution.

6. Intellectual Property

The KOMUNITI platform, including its design, code, features, branding, and documentation, is the intellectual property of TAVARA HOLDINGS OPC and is protected by copyright and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your community management needs. This license does not grant ownership of any part of the platform.

Content you upload to the platform (documents, images, data) remains your property. By uploading content, you grant us a limited license to store, process, and display it as necessary to provide the service.

7. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these terms by reference.

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no system is perfectly secure, and we cannot guarantee absolute security.

8. Service Availability

We strive to maintain 99.9% platform uptime but do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated in advance.

We are not liable for service interruptions caused by circumstances beyond our reasonable control, including natural disasters, internet service provider failures, or government actions.

9. Limitation of Liability

To the maximum extent permitted by Philippine law, TAVARA HOLDINGS OPC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform.

Our total liability for any claim arising from these terms or the use of KOMUNITI shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

This limitation of liability applies regardless of the legal theory on which the claim is based, including breach of contract, tort, negligence, or strict liability.

10. Termination

You may cancel your subscription at any time through your account settings or by contacting us at legal@komuniti.cloud. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account if you violate these terms, fail to pay fees, or engage in activity that harms other users or the platform. We will provide reasonable notice unless immediate action is required to protect platform security.

Upon termination, you may request an export of your community data within 30 days. After this period, we may delete your data in accordance with our data retention policy.

11. Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Republic of the Philippines.

Any disputes arising from these terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Metro Manila, Philippines.

12. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes at least 30 days in advance via email or in-app notification.

Your continued use of KOMUNITI after the effective date of revised terms constitutes acceptance of the changes. If you do not agree with the revised terms, you may cancel your subscription before they take effect.
